Terms of Service.

By accessing this website or engaging VFXBaba Studio ("the Studio", "we", "us") for any services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

These terms apply to all visitors, clients, and collaborators who access or use our services. For active projects, a separate project agreement or statement of work may supplement these terms.

VFXBaba Studio is a premium AI content studio based in Pune, Maharashtra, India. We offer creative services including but not limited to:

• Creative design - brand identity, visual design, UI/UX, marketing collateral
• Video production - commercials, brand films, motion graphics, post-production
• AI services - AI-powered content creation, generative workflows, AI pipeline consulting

The specific scope, deliverables, timeline, and pricing for each project are defined in a separate project proposal or statement of work agreed upon before production begins.

Upon full payment of all agreed fees, the client receives full ownership of the final deliverables as specified in the project agreement. This includes production files, source files, and any assets created specifically for the project.

VFXBaba Studio retains the right to display completed work in our portfolio, case studies, and marketing materials unless a separate non-disclosure agreement (NDA) is in place. We will always respect the terms of any signed NDA.

Tools, templates, processes, and methodologies developed by the Studio remain our intellectual property and may be used across other projects. Pre-existing assets, stock materials, and licensed third-party resources are subject to their respective license terms.

All pricing is quoted in Indian Rupees (INR) unless explicitly stated otherwise. For international clients, we may quote in USD or other currencies by mutual agreement.

Payment structures are typically project-based or retainer-based, as outlined in the project proposal. Standard terms include an advance payment before production begins, with the balance due on delivery or according to the milestone schedule in the project agreement.

Late payments may result in project pauses. We reserve the right to withhold final deliverables and source files until all outstanding invoices are settled.

Each project proposal specifies the number of revision rounds included. Additional revisions beyond the agreed scope may incur extra charges, which will be communicated and approved before work proceeds.

Client approvals at key milestones (concept, draft, final) are required to keep projects on schedule. Delays in client feedback may shift delivery timelines accordingly.

VFXBaba Studio provides services on a best-effort basis and strives for the highest quality in all deliverables. However, we shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or deliverables.

Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project.

We are not responsible for how clients use the deliverables after handoff, including any regulatory, legal, or compliance implications of the content.

We treat all client briefs, business information, and project details as confidential. We will not share your proprietary information with third parties without your consent, except as required to deliver the agreed services (e.g., sharing assets with specialist collaborators under NDA).

Either party may terminate a project engagement with written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date.

We reserve the right to terminate or refuse service if a project involves content that is unlawful, defamatory, or in violation of any applicable regulations.

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
